VEHICLES USING THE FORD UPFITTER INTERFACE MODULE OPTION – GENERAL RECOMMENDATIONS, WARNINGS, TERMS AND CONDITIONS

 

The UPFITTER INTERFACE MODULE (UIM) is an electronic control module that has the ability to operate equipment (such as lift buckets, cranes, motors, salt spreaders, snow plows, etc.) with external automotive grade relays via customer programmable logic based on switch inputs and CAN signals. The operation of such equipment is limited to the design constraints of the UIM.

 

Ford trucks are designed principally to provide vehicle motivation and short-term auxiliary power needs. The upfitter, installer or final stage manufacturer (“Upfitter”) designs, engineers and installs equipment to the vehicle chassis and through actions of programming, controls the power activation of hydraulic or electro-mechanically driven devices such as salt spreader, wrecker lift, snowplow blade lift and movement, power tailgate lift or dump body lift, lighting control are a few examples.

 

It is the responsibility of the equipment installer to choose, install or program, along with the suitable engineering of the final stage manufacturing devices added to the vehicle, in a manner that conforms to all applicable safety standards. The vehicle operators should be properly informed and able to use in a safe manner any added devices or controls and with the necessary precautions to ensure safe operation and customer satisfaction.

 

The UIM should be used in conjunction with other Ford vehicle manuals. The UIM should not be relied upon with respect to compliance with any applicable regulation of the Federal Highway Administration or applicable regulations issued pursuant to any Federal, state, provincial or local law or regulations governing the performance or construction of motor vehicles. It is the responsibility of the Upfitter to determine applicability and comply with any Federal, state, provincial or local requirements.

 

Note that the final responsibility for the compliance of the completed vehicle rests with the Upfitter who is required by law to certify that the completed vehicle conforms to all applicable Federal Motor Vehicle Safety Standards and Canada Motor Vehicle Safety Standards and that all applicable Federal, state, provincial and local laws and regulations and standards are conformed with.

 

Ford Motor Company and its affiliates (“Ford”) do not make any representation as to the appropriateness of modifications for any particular application other than expressly stated herein. Upfitters must exercise proper engineering judgment to determine if a modification is appropriate for their specific application.

 

The UIM is programmable by the Upfitter using software provided by Ford. Ford grants to Upfitter a non-exclusive and non-transferable license to use the UIM software and its associated configurator program and resulting programming logic (“Software”) for the limited purpose of programming the UIM. Upfitter is not permitted to transfer rights in the Software to others, remove any proprietary notices or labels on the Software or its output, or use the Software on unauthorized equipment or devices. Upfitter may not reverse engineer, decompile, disassemble or otherwise reduce the Software to human-readable form, or allow copies of the Software to remain on any computer equipment that is scrapped or otherwise removed from control of Upfitter.

 

Ford does not warrant that the Software is error free. The Software is provided "as is". Upfitter assumes full responsibility for the selection and suitability of the computer equipment on which the Software is installed, as well as for its installation and use, and for the results obtained from the Software.

 

Upfitter shall indemnify, hold harmless and protect Ford and its officers, directors, employees and agents from and against any liability, loss, direct, damage, and reasonable expense, including without limitation, settlements, judgments, expert fees, and attorney’s fees, resulting from or related to claims arising from use of the UIM, and any information provided therein, or from modifications or additions made by Upfitter. Upfitter shall be liable for any claims arising solely from modifications or additions made by Upfitter.

 

In the U.S., these Terms and Conditions shall be governed by, construed and enforced in accordance with the laws of the State of Michigan, without regard to its conflict of laws provisions. In Canada, they shall be governed by, construed and enforced in accordance with the laws of the Province of Ontario and the laws of Canada as they are applied in the Province of Ontario, without regard to the conflict of laws provisions.
